Contracts and Commercial Law examines the nature of contracts and commercial law under both the common law and the Commercial Code of Indiana. Topics include contracts for sales of goods (UCC Article 2), the Statute of Frauds, performance, remedies, warranties, and assignment law.

MAJOR COURSE LEARNING OBJECTIVES: Upon successful completion of this course the student will be expected to:

  1. Analyze the six elements of an enforceable contract.
  2. Analyze the purpose of the Indiana Statute of Frauds and identify which contracts must be in writing.
  3. Differentiate between common law and the UCC with regard to contracts.
  4. Determine when a contract is fully performed and complete.
  5. Differentiate between the kinds of legal and equitable damages in contract law.
  6. Contrast the rights and duties of the parties.
  7. Draft an appropriate transactional document, such as a simple contract.
  8. Identify the relevant rules of professional conduct with respect to contract law.
