LEGS 205 - Business Associations

This course introduces the student to the various forms of business entities, including sole proprietorships, general and limited partnerships, limited liability companies (LLC’s), and business corporations. Topics include key concepts of law (the relationship between principals and agents), the scope of employment doctrine, and respondeat superior, the distinguishing characteristics of common business entities, the formal requirements for establishing and doing business in various types of business organizations in Indiana, respective advantages and disadvantages of each type, and relevant tax issues. Students will review sample business formation documents and will draft a general partnership agreement.

MAJOR COURSE LEARNING OBJECTIVES: Upon successful completion of this course the student will be expected to:

  1. Demonstrate a working knowledge of the Uniform Partnership Act, the Uniform Limited Partnership Act, the Uniform Limited Liability Company Act, the Model Business Corporation Act, and Indiana code sections related to these business entities.
  2. Identify various forms including, but not limited to:
    1. Articles of Incorporation
    2. Corporate By-Laws
    3. Certificates of Assumed Name
    4. Certificates of Incorporation
    5. General Partnership Agreement
    6. Articles of Organization (LLC)
  3. Describe the basic differences between the common types of business entities including sole proprietorships, limited and general partnerships, limited liability partnerships and companies, and various forms of business corporations.
  4. Compare the formalities required to organize the various types of business entities.
  5. Demonstrate a working knowledge of agency law, including analyzing principal and agent liability relationships in partnerships and corporations.
